EMPLOYMENT AGREEMENT (Part 1)
This Agreement made and entered into this ________ day of ________, 20 ________, by and between ________ (“employer”), and ________ (“employee”). The parties recite that:
A. Employer is engaged in ________ and maintains business premises at ________.
B. Employee is willing to be employed by employer, and employer is willing to employ employee, on the terms and conditions hereinafter set forth. For the reasons set forth above, and in consideration of the mutual covenants and promises of the parties hereto, employer and employee covenant and agree as follows:
1. AGREEMENT TO EMPLOY AND BE EMPLOYED
Employer hereby employs employee as ________ at the above-mentioned premises, and employee hereby accepts and agrees to such employment.
2. DESCRIPTION TO EMPLOY AND BE EMPLOYED
Subject to the supervision and pursuant to the orders, advice, and direction of employer, employee shall perform such duties as are customarily performed by one holding such position in other businesses or enterprises of the same or similar nature as that engaged in by employer. Employee shall additionally render such other and unrelated services and duties as may be assigned to him from time to time by employer.
3. MANNER OF PERFORMANCE OF EMPLOYEE’S DUTIES
Employee shall at all times faithfully, industriously, and to the best of his ability, experience, and talent perform all duties that may be required of and from him pursuant to the express and implicit terms hereof, to the reasonable satisfaction of employer. Such duties shall be rendered at the abovementioned premises and at such other place or places as employer shall in good faith require or as the interests, needs business, and opportunities of employer shall require or make advisable.
4. DURATION OF EMPLOYEMENT
The term of employment shall be _______ years, commencing on ________, 19 ________, and terminating ________, 19 ________, subject, however, to prior termination as otherwise provided herein.
5. COMPENSATION; REIMBURSEMENT
Employer shall pay employee and employee agrees to accept from employer, in full payment for employee’s services hereunder, compensation at the rate of ________ Dollars ($________) per annum, payable ________. In addition to the foregoing, and usual expenses incurred by him while traveling for and on behalf of the employer pursuant to employer’s directions.
6. EMPLOYEE’S LOYALTY TO EMPLOYER’S INTERESTS
Employee shall devote all of his time, attention, knowledge, and skill solely and exclusively to the business and interest of employer, and employer shall be entitled to all benefits, emoluments, profits or other issue arising from or incident to any and all work, services, and advice of employee. Employee expressly agrees that during the term hereof he will not be interested, directly o indirectly, in any form, fashion, or manner, as partner, officer, director, stockholder, advisor, employee, or in any other form in capacity, in any other business similar to employer’s business or any allied trade, except that nothing herein contained shall be deemed to prevent or limit the right of employee to invest any of his surplus funds in the capital stock or other securities of any corporation whose stock or securities are publicly owned or are regularly traded on any public exchange, nor shall anything herein contained by deemed to prevent employee from investing or limit employee’s right to invest his surplus funds in real estate.
PERJANJIAN KERJA
Perjanjian ini dibuat dan ditandatangani pada hari ini, ____, tanggal ____, 20__, oleh dan diantara ____ (pihak pertama), dan ____ (pihak kedua). Kedua belah pihak menyatakan bahwa :
A. Pihak pertama bergerak dibidang __________ dan bertempat di perusahaan __________.
B. Pihak kedua bersedia dipekerjakan oleh pihak pertama, dan pihak pertama bersedia memperkerjakan pihak kedua, berdasarkan syarat dan ketentuan yang ditetapkandalam perjanjian kerja ini. Berdasarkan alasan-alasan yang disebutkan diatas, dan dengan pertimbangan mengenai kesepakatan dan perjanjian-perjanjian bersama kedua belah pihak dengan ini, pihak pertama dan pihak kedua menyepakati dan menyetujui hal-hal sebagai berikut :
1. PERJANJIAN MEMPERKERJAKAN DAN DIPEKERJAKAN
Pihak pertama bersama ini memperkerjakan pihak kedua sebagai __________ di perusahaan yang disebutkan diatas, dan pihak kedua bersama ini menerima dan menyetujui pekerjaan tersebut.
2. URAIAN TUGAS-TUGAS PIHAK KEDUA
Tunduk pada pengawasan dan patuh terhadap perintah-perintah, anjuran, dan arahan pihak pertama, pihak kedua harus melaksanakan tugas-tugas tersebut sebagaimana biasanya dilaksanakan oleh orang yang menduduki jabatan serupa di usaha-usaha atau perusahaan-perusahaan lainnyayang bentuknya sama seperti yang dibidangi oleh pihak pertama. Pihak kedua harus menerima juga layanan-layanan dan tugas-tugas lainnya dan yang tidak berkaitan dengan tugas utama atau sebagaimana mungkin ditugaskan kepadanya dari waktu kewaktu oleh pihak pertama.
3. TATA CARA PELAKSANAAN TUGAS-TUGAS PIHAK KEDUA
Pihak kedua harus selalu setia, tekun, dan sesuai dengan kemampuannya, pengalaman, dan bakat terbaiknya, melaksanakan semua tugas-tugasnya yang mungkin dibutuhkan darinya dengan mematuhi syarat yang tersurat dan tersirat didalam perjanjian ini untuk memuaskan pihak pertama. Tugas-tugas tersebut harus diterima di perusahaan yang disebutkan diatas atau di tempat-tempat lainnya sebagaimana yang pihak pertama minta dengan itikad baik atau demi kepentingan, kebutuhan, usaha, dan kesempatan yang pihak pertama akan di minta atau di anjurkan pihak pertama.
4. JANGKA WAKTU BEKERJA
Syarat bekeja selama _____tahun, dimulai pada _____, 19_____, dan berakhir _____, 19_____, patuh, namun, untuk yang tidak ditentukan didalam perjanjian ini.
5. PENGGANTIAN KERUGIAN
Pihak pertama harus membayar pihak kedua dan pihak kedua setuju untuk menerima dari pihak pertama, pembayaran penuh untuk jasa pihak kedua berdasarkan perjanjian ini, ganti rugi sebesar __________ Dolar ($____) per tahun, dibayar _______. Selain itu, pihak pertama akan mengganti rugi segala kebutuhan, dan yang biasa ia keluarkan saat berpergian berdasarkan perintah pihak pertama.
6. KESETIAAN PIHAK KEDUA TERHADAP PIHAK PERTAMA
Pihak kedua akan mencurajkan seluruh waktunya, perhatian, pengetahuan, dan keterampilan semata-mata hanya untuk bisnis dan kepentingan pihak pertama, dan pihak pertama berhak atas semua manfaat, pendapatan, keuntungan atau masalah lain yang timbul dari pekerjaan, semua jasa dan saran pihak kedua. Pihak kedua menyatakan setuju bahwa selama jangka perjanjian ini ia tidak akan tertarik, langsung atau tidak langsung, dalam bentuk apapun, pakaian, atau cara, sebagai mitra, pejabat, direktur, pemegang saham, penasehat, karyawan, atau dalam setiap bisnis lain yang serupa dengan bisnis pihak pertama atau perdagangan sekutu, kecuali jika tidak tercantum didalam perjanjian ini maka dianggap menghalangi atau membatasi hak pihak kedua untuk menginvestasikan dana di saham atau surat berharga lainnya dari perusahaan yang saham atau efek diperdagangkan secara umum, dan tidak ada yang terkandung didalam perjanjian ini yang dianggap menghalangi pihak kedua dari investasi atau membatasi pihak kedua untuk menginvestasikan dananya di sumber daya alam.
